Does an Ontario corporation need a minute book?
Yes. Section 140 of the OBCA requires every corporation to keep its articles and by-laws, minutes and resolutions, a register of directors and a securities register. Since January 1, 2023, private Ontario corporations must also keep a register of individuals with significant control under section 140.2.
Banks, accountants, buyers and the Canada Revenue Agency often ask to see these records, and that request is usually when owners discover their book is missing.
Is a digital minute book allowed in Ontario?
Section 139 of the OBCA allows records to be kept electronically if they can be reproduced in intelligible written form within a reasonable time and adequate precautions are taken against loss or falsification.
Common trap: storing records outside Ontario
OBCA records must be kept at the registered office or another place in Ontario the directors designate. A cloud copy is fine as long as the records can be accessed and reproduced there.
